Terms of Service

These Terms of Service ("Terms") govern your use of services provided by Onemart Media Solutions LLC ("Onemart," "we," "us," or "our"), a Wyoming limited liability company. By placing an order or using our services, you agree to these Terms. Please read them carefully.

1. Services

Onemart provides design services including logo design, brand identity development, and content design. The specific scope of services for your project is defined by the package you purchase, as described on our Packages page, or by a written custom quote we provide to you.

2. Orders and acceptance

When you place an order, you make an offer to purchase the selected service. Your order is not accepted until we send a written project confirmation (typically via email) within 1 business day. We reserve the right to refuse any order at our discretion, in which case we will refund any payment received in full.

3. Payment

Pricing and currency

All prices are listed in United States Dollars (USD) and are exclusive of any applicable taxes. The price for your project is the price displayed at the time of order, or as agreed in a custom quote.

Payment terms

Standard packages are paid in full upfront before the project begins. For custom and enterprise quotes above $1,000, we may agree to a 50/50 split — 50% on project start and 50% before final delivery.

Payment processing

All payments are processed by Stripe, a PCI-DSS Level 1 certified payment processor. We accept Visa, Mastercard, American Express, and Discover. Card details are submitted directly to Stripe and never stored on our servers.

Failed payments

If a payment fails or is reversed (chargeback) without a valid reason, we reserve the right to suspend or cancel the project, withhold delivery of files, and pursue collection through lawful means. You agree to reimburse any chargeback or processing fees we incur as a result.

4. Project process and timelines

Each package on our site lists the typical delivery timeline. Timelines start from the moment we receive a complete project brief from you and the initial payment is confirmed.

Delays caused by missing client feedback, incomplete briefs, or scope changes will extend the project timeline. We will not be held to original delivery dates if you are unresponsive for more than 3 business days during an active revision phase.

5. Revisions and feedback

Each package specifies the number of revision rounds included. A "revision round" means a single consolidated set of feedback per concept. Splitting feedback across multiple emails or messages still counts as one round.

Additional revisions beyond what your package includes are available at a flat fee of $35 per round, agreed in writing before the work is performed.

6. Intellectual property

Transfer of ownership

On full payment and final delivery of a project, all intellectual property rights — including copyright — in the final delivered design transfer from Onemart to you (the client). You may use the design for any lawful purpose without further permission or royalties.

Pre-payment ownership

Until full payment is received and the project is marked as delivered, all design files, concepts, and drafts remain the property of Onemart. You may not use unfinished or unpaid designs for commercial purposes.

Working files and source files

Final delivery includes editable source files (Adobe Illustrator, Figma, etc.) where specified by your package. Internal scratch files, drafts, and rejected concepts are not delivered and remain in our archive.

Trademark

We design original work but do not perform formal trademark searches or filings. You are solely responsible for ensuring the design does not infringe on existing trademarks in your jurisdiction and for filing any trademark registrations. We recommend consulting a qualified IP attorney.

Portfolio rights

We retain the right to display delivered work in our portfolio, on our website, and in marketing materials, unless you specifically request otherwise in writing before project start. NDAs and white-label agreements are available on enterprise packages.

8. Client responsibilities

By placing an order, you confirm that:

• You are at least 18 years old and legally able to enter into contracts
• The information you provide is accurate and complete
• Any content, brand names, or assets you supply are owned by you or licensed for use
• You will provide timely feedback during the revision phase
• You will not use the work for unlawful, deceptive, or harmful purposes

9. Confidentiality

We treat all project briefs, business information, and unreleased materials as confidential. We will not share or discuss your project with third parties except as needed to deliver the service (e.g., printing partners, with your permission). Standard NDAs are signed on request for enterprise projects.

10. Warranties and limitation of liability

We warrant that all delivered work is original and produced specifically for you. We do not warrant that the work will be free of all imperfections or that it will achieve any particular business outcome.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the services is limited to the amount you paid for the specific project giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities.

11. Indemnification

You agree to indemnify and hold Onemart harmless from any claims, damages, or expenses arising from (a) content you provided to us, (b) your use of the delivered work, (c) your breach of these Terms, or (d) your violation of any third-party rights.

12. Termination

Either party may terminate the project agreement under the terms described in our Cancellation Policy. We reserve the right to terminate services immediately if you breach these Terms, engage in abusive conduct, or fail to make payment.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Natrona County, Wyoming, and you consent to personal jurisdiction in those courts.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be communicated to active clients via email. Continued use of our services after changes constitutes acceptance.
